The Opportunity:

We are excited to be recruiting for a Legal Counsel, Business Banking. In this role, you will support the Senior Legal Counsel by providing expert legal guidance, advice, and support to the Business Banking department. You will take the lead in initiating and managing the business loan documentation process from start to finish, drawing on your professional knowledge and experience in documenting commercial lending facilities. This includes preparing and reviewing facility agreements, security documents, and all other associated documentation required to secure lending facilities for the Bank.

Key Responsibilities include:

  • Manage the end-to-end process of documenting Facility Agreements and associated security documentation as legal counsel for the Business Banking department.
  • Work alongside the Senior Legal Counsel to plan and prioritise facility documentation, ensuring Bank and client deadlines are met and proactively addressing or escalating any issues that may delay completion.
  • Support the delivery of compliant loan agreements that meet Bank and borrower needs, and ensure all credit sanction conditions and policy requirements are satisfied.
  • Collaborate with Lending Operations to ensure facility agreements align with Bank systems.
  • Oversee the selection, appointment, and performance management of external solicitors from the Bank’s approved panel, working with Procurement and Legal teams.
  • Review bespoke loan agreements, security documents, and external reports to ensure legal and regulatory compliance, taking action or escalating issues as needed.
  • Provide legal advice and support to Business Banking and Lending Operations teams, and resolve any legal or policy issues.
  • Maintain and update internal templates, policies, and processes, ensuring strong internal controls and governance.
  • Engage regularly with stakeholders to provide updates and keep transactions on track.
  • Ensure full regulatory compliance and uphold the Bank’s values by delivering positive outcomes for customers.

What We are looking for:

We are seeking a UK-qualified solicitor with 2-5 years PQE, ideally with experience in banking and finance law, including documenting, negotiating, and concluding bespoke lending transactions for reputable banks or financial institutions. Previous experience in structured project finance lending and a good working knowledge of commercial lending structures, especially LMA documentation, are desirable. You should be confident drafting, reviewing, and negotiating loan and security documentation, and have experience working with a range of internal and external stakeholders. Excellent communication skills at all levels are essential. You will have strong attention to detail and the ability to remain positive under pressure, working both independently and as part of a team in a busy environment. Experience in process improvement or continuous improvement would also be an advantage for this role.

We are looking for candidates with 2-5 years’ PQE. However, if you do not have 2-5 years’ PQE but possess equivalent relevant experience, we would still encourage you to apply, as this will also be considered.
